Our Company Formation types

Private Company Limited by Shares

A private limited liability company is one incorporated with the CAC as one. It is a company limited by shares, which its shares not offered to the general public. "Limited by shares" means that the liability of the shareholders to creditors of the company is limited to the capital originally invested, i.e. the nominal value of the shares and any premium paid in return for the issue of the shares by the company. Businesses may be limited companies for a number of reasons - it may look more 'professional', it may help if you need to raise external finance, and it may be more tax efficient than other business structures. Under the limited company structure, your company and personal finances are kept separate, unlike the sole trader structure.

Company Limited by Guarantee

A company Limited by Guarantee is an alternative type of limited company used mainly for non-profit organisations. It can also be referred to as a Limited by Guarantee Company (this is the name CAC use), a Private Company Limited by Guarantee or simply an LBG. Common uses of Limited by Guarantee companies include; Clubs, Membership organisations, including students' unions, Sports associations, Workers' co-operatives, Other social enterprises, Non-governmental organizations (NGOs), Charities, Religious organisation

Public Limited Company (PLC)

A public limited company (PLC only) is a type of limited company which is permitted to offer its shares to the public. All public limited companies' names end in "PLC". While it is not compulsory for a PLC to offer its shares to the public, many do so, and their shares are usually traded on either the Nigeria Stock Exchange or the Alternative Investments Market (AIM). There is a minimum share capital for public limited companies: Before it can start business, it must have allotted shares to the value of at least N500 million valued at N5,000 per share. Each allotted share must be paid up to at least one quarter of its nominal value together with the whole of any premium.
